Simple answer
 
NO
 
You can upgrade to 2000 Server or 2003 Server.
 
You can't go from a server class OS to a workstation class OS.

But you can install Win 2k Pro onto the hard drive without having to format or fdisk.
 
I'd recommend renaming the Program Files Directory first.
Then install Win2K Pro. Make sure not to install it into c:\winnt (assuming that's where your server install is).
 
This option, though not an upgrade, will retain all of your files if that is an issue.
