DirectX / Overlay Broken in my Windows 2000 Server

Please Help! For weeks now, I've been trying to figure out why I can't get DirextX and Overlay to work on my Windows 2000 Server! I've tried multiple video cards and they all have the same problem, so I'm thinking that somehow the way I've configured the Server breaks DirectX / Overlay.

For weeks now, I've been trying to figure out why I can't get DirextX and Overlay to work on my Windows 2000 Server! I've tried multiple video cards and they all have the same problem, so I'm thinking that somehow the way I've configured the Server breaks DirectX / Overlay.
 
Server Config:
Windows 2000 Server SP3 (Clean Install)
Only Terminal Services & PCAnywhere Installed
Nvidia Geforce4 MX 420 (Geforce, Geforce 3 also tried)
Dual AMD AthlonMP 1.2ghz
Tyan Tiger MP board
1GB PC2100 ECC DDR RAM
Sound Blaster Live Value
 
I've scoured the net for weeks and I can't find a reason this would be happening. The only thing I can think is that maybe the Tyan Tiger MP or the Dual CPU is causing a problem. Everyone says that I should be able to run 3D and Overlay just as well on Win2K Server as on Professional.
 
Any suggestions would be greatly appreciated!

Forgot a couple things.
 
I've tried the DX8 & DX9 and neither work.
 
When I run dxdiag I get the following error:
 
Direct3D 7 test results: Failure at step 8 (Creating 3D Device): HRESULT = 0x887602eb (error code)
