Help, instability problems

Hey guys I have a as of yet undiagnosed problem. I'm running a Pentium 4 2GHz 845 ASUS P4B266 Motherboard 2 sticks of 512 MB DDRAM GeForce 4 Ti4400 and a Western Digital 120 GB IDE Hard Drive all inside a aluminum case with about 9 fans on it and being powered by a 420V power supply.

Hey guys I have a as of yet undiagnosed problem.

and Im running in Windows XP home edition
 
Now for the problem, Im getting random system freezes, it happens really fast when I do 3D intensive video stuff, but it will also freeze while on the web or just working on the desktop. The computer has told me that it is a GeForce driver error sometimes, but I have also been reboted into the Bios and there it says somthing to the extent of: the CPU is being overclocked and that is causing the instability. Is this a hardware problem, possibly overheating? The heatsink with a thermal pad and fan is on the CPU, and the GPU doesn't seem to be getting really hot. Or is it an incompatibility issue between components? Or is it a driver issue? Or possibly a software incompatibility? Please help, I have put a lot of effort into this computer and am exhausting my ideas on how to fix this.

P4's in theory are supposed to "step down" if they overheat. It is possibly overheating but unlikely. Who makes your GForce card? Nvidia has a variety of drivers, through trial and error, like many of us, you may have to find the ones that work best with your system.

Are you overclocking? Why 9 fans? P4s only need one, 2 at the most for exhaust.

There's only one fan on the CPU and the heatsink doesn't get very hot at all. No I'm not trying to overclock at all, there is just a bunch of fans on the case I bought for circulation. I'll try the trial and error with the drivers though. Oh and the Geforce is the MSI one that Creative outsources to them.

P4 2 GHz will step down (tried with my P4 2GHz 850!) It steped down when I block my CPU Cooler Fan with another power cable.. was able to shut down windows normaly (about 75% slower than normal but it worked) opened the case.. saw the heatsink allmost glowing (it was so hot that I burned my fingers when I touched it) but the P4 is still working.. (greets to all AMD Users
 
And now for your problem: Your graphics card is most likley active cooled!? If you have a card just in the slot next to the AGP Slot it is possible that the active cooler is sucking in hot air allready and isnt properly cooling your card (this happend me once again with my GF3 Ti500) so give it a try if you have enough space on your Mobo!
