Are you using a cross over cable? What are the IP settings of the two machines?

You should honestly get an inexpensive cable/dsl router, that would be a better solution than a crossover cable and ICS... Less headaches.
goto the properties of the pc with the intenet ocnection. enable sharing. reboot both machines.
then your internet weill work
then your internet weill work
well, if your router has multiple outs for more than one pc, it should work without problems, just try redefining the protocols that the pc's are using on the network and the internet sharing..anyway it shouldn't be a problem
