Geforce 3 VisionTek 14.20 drivers from Nvidia (not sure if it's 14.20 the latest ones that got leaked)

Hmmm. Is there anything specific you do before you shutdown when it does this, or does it do this all the time?

What's the last piece of hardware you installed before this? What's the last piece of software you installed? What's the last driver you installed?

It's not a problem with ACPI my system has been working sence June 2000 with no problem.. thats all ready a year.. never got blue screens till now... and no formatting isnt an answer here... it has something to do with a drivers I think the way MS site described it.. but how do I know which driver couses the problem

You said it worked since June 2000, when did you add the GF3 card, and then when did you change drivers? Cause you have had to load the newer 4.32 recently and the GF3 drivers.

try booting with the 'last know good hardware configuration' and, keep in mind you're using a beta bios

I don't see why this post made it into the 'hardware' thread, on a second note..
