Im not sure about 2k but I tried it in 98 once and the os failed to boot up. Luckily I was duel booting with 2k and was able to replace the original shell.32 That was the first and last time I tried that.
Windows 2000 SFC would restore automatically your replaced shell32.dll with the one that comes with windows 2000.
It's like trying to copy a modified ntoskrln.exe with a custom image in the %WINDIR%\system32 folder. SFC restores the original file.

You can trick the SFC though, by putting the new file in the dllcache directory

OP
Well
I know 98 shell is different, but XP and 2000 have a similar shell. So If I replace my shell with XP shell32.dll, do you think all my icons will change to the new ones?

As log as you back up the old one and are able to replace it. Give it a shot. Let me know how it goes.

OP
Sure,
I will let you guys know as soon as I get my shell32 from THC.

I have a solution that will work perfectly.
I ripped the icons from shell32.dll XP with microangelo.
Made a new DLL with all explorer and shell related icons in it. (Icons 0 - 44).
I also made a batch file which copies it to your %windir%\system32\icons
and a regfile to make the appropriate changes.
I also included a small .txt file with instructions.
I can e-mail it if you like to try it.

Replace your shell, hmm. Now why does that sound like a bad idea? Somehow that just doesnt seem like a real good way to help yourself. If you play around with stuff in the software, you could really screw stuff up. But then again, user error seems to be the only surefire way to screw up your system enough to have to reinstall windows...
Id stay away from that stuff...that sounds like something along the lines of randomly deleting registry entries.

Sounds interesting. Could you mail to me also, and perhaps a screen shot of the new icons would go down well. Any stability problems?
