Well, you must be aware that W2K can manage up to 64Mo of Ram and that's all !!

I belive its normal, after a clean install on my machine, my mem usage was almost 64mb out of 96mb.

are you boy's looking at "Phisical Memory (K)" part
Total 261688 KB RAM which I have 256meg ram

Yah my RAM is recognized fine too.
Try turning off services you don't need to conserve on your memory load.
