win 2000 server Active directory

I want to exchange this computer with another new computer. My question is how I can transfer the data to the new server as well as the Active directory structure.

How did you fail?
Best way to do this (IMO) would be to build a new server installation, and make it an AD DC in the existing domain, so you would have a copy of the user accounts and the AD schema.
Then configure necessary network services on the new server (if applicable) such as DHCP, DNS, etc.
Finally, remove the old server.
