Well lets start with a couple of things ...
1. Are there excessive programs loading upon initial startup?
2. Is this Windows 2k SP3 with all the latest hotfixes?
3. Anything in the event logs?
4. The virus Klez has been known to do this .... are you running AV, with the latest definitions? have you scanned your machine?
5. Is it profile specific ... as in, when you login as a new user does the sympton travel with the newly created profile?
6. Zone Alarm has also been known to cause this issue ... since winlogon.exe controls a users ability to login and log off.
7. Have you "hacked" this system file with a replacement?
There, ... that should get you started.
G'luck
