XP locking up on new machine

Hi! I bought my new computer a week back. Specs: PIV - 1. 8Mhz Motherboard : VIA P4M266A+VT8235 U8668D-Z4 VER:6. 1 DVD LG CD-R LG LG e700b monitor (17 ) ATI Radeon 7500 Onboard AC97 sound I have installed both win xp and win 98 SE as dual booting 512 mb ddr RAM I am facing numerous problems with both these OSs 1.

Hi!
I bought my new computer a week back.

CD-R LG
LG e700b monitor (17 ")
ATI Radeon 7500
Onboard AC97 sound
I have installed both win xp and win 98 SE as dual booting
512 mb ddr RAM
I am facing numerous problems with both these OSs
1. Win XP sometimes locks up especially when using graphic applications.
2. WIn 98 Se -> Whenever I am running any games, the system hangs.
I ran Midtown Madness, Motorcross Madness 2, Fifa 98 and all of them lock up instanly.
3. I am using catalyst 2.91 drivers which were provided on the driver CD.
Should I install the latest drivers with both OSs. Or is there any motherboard conflict, etc.
 
Also, both win xp and win 98 fail to detect my internal modem (pctel chipset). Also when I use modem drivers on CD, Win 98 shows modem attached to COM1 port. WIn xp shows modem at COM3 but COM1 also occupied.

simple problem, complex troubleshooting
 
there is a number of things you should check:
1. Latest chipset drivers from via
2. Get any updates from windowsupdate
3. Just to be on the safe side, get DirectX9
4. Get the latest drivers for yor AC97 soundcard
 
Another idea would be to disable sound (Start, Run, dxdiag and on the Sound tab drag the slider all the way to the left) and see if you can actually play the games.

I have tried everything and it makes matters worse. I think, the motherboard might be the problem as it s KRYPTON board [3rd party] with VIA chipset. SO, i am going to change it and see if it helps. Can you suggest a motherboard which would work for my configuration (especially having the AGP slot), may/may not have onboard sound/video, preferably from ASUS or INTEL and preferably within $140/- budget.
